Clarion Energy, Synergy BV, part of Clarion Events Group, having its registered office at Bisonspoor 6000 in NL-3605 LT, Maarssen, Netherlands, Chamber of Commerce number 30198411 and duly represented by Elisabeth Brusse, General Manager, Clarion Energy B.V (hereinafter: “Clarion Energy”);

SPEAKERS OBLIGATIONS:

1.1. Speaker authorises Clarion Energy to use speaker’s name, biographical data and headshot in connection with the use and promotion of the conference programme of Enlit Europe.

1.2. Aforementioned speaker agrees to participate in Enlit Europe and to comply with all programme related deadlines including but not limited to:

• Signed speaker agreement form
• Bio and headshot
• Session conference calls
• Final presentation upload to online system
• Speaker briefing sessions on-site

1.3. Speaker agrees that the conference sessions, including the session he/she will participate in, are designed to provide an opportunity to learn and discuss business and technology issues, and are not intended to sell products or services.

1.4. Speaker grants Clarion Energy a perpetual license to: copy, reproduce, publish and distribute the work in print and other formats (included but not limited to online publication on the event website and possible distribution through other Clarion Events affiliates); reprint the work for distribution; and make the work available for purchase and distribution after the conference. Unless agreed otherwise in writing with the Content Director.

2. WARRANTIES

2.1 Speaker warrants that the performance will not contain material that infringes the copyright or any other rights of any third party (including any right of confidentiality or privacy) nor any obscene, libellous or defamatory matter against the Organiser, its agents, contractors, sub-contractors and / or third parties. If the performance does so, Clarion Energy shall be entitled to stop the performance immediately and, for any such infringements, Clarion Energy reserves its right to make a claim against the speaker and seek any remedy available to them at law or in equity.

2.2 Speaker warrants that any promotional content pre-dating the show will not contain material that infringes the copyright or any other rights of any third party (including any right of confidentiality or privacy) nor any obscene, libellous or defamatory matter against Clarion Energy, its agents, contractors, sub-contractors and / or third parties. If the promotional content does so, Clarion Energy shall be entitled to stop any promotional material immediately and, for any such infringements, Clarion Energy reserves its right to make a claim against the speaker and seek any remedy available to them at law or in equity.

2.3 Speaker warrants that any content but not limited to social media material referencing or associated with Enlit Europe either pre-dating, during and after the performance will not contain material that infringes the copyright or any other rights of any third party (including any right of confidentiality or privacy) nor any obscene, libellous or defamatory matter against the Organiser, its agents, contractors, sub-contractors and or third parties. If this content does so, Clarion Energy shall be entitled to request the Speaker to take down such content from their social media platform and, for any such infringements, Clarion Energy reserves its right to make a claim against the speaker and seek any remedy available to them at law or in equity

2.4 If Speaker is represented by agent, Speaker and his/her agent both warrant that the agent signing this agreement on the Speaker's behalf has the full authority to do so.

3. INDEMNITY

Speaker indemnifies and will hold harmless Clarion Energy, its owners and employees from any and all third-party claims of copyright infringement made against Clarion Energy and arising from the Speaker’s work/presentation.

4. POWERS AND DISCRETION OF CLARION ENERGY

4.1 Clarion shall be entitled to at any time during the Show:
(a) change the allocated time Speaker is due to speak at the Show (with reasonable notice and approval to Speaker’s diary);
(b) alter the duration Speaker can speak at the Show;
(c) change the location where the Speaker is meant to speak;
(d) cancel Speaker’s performance with 14 days’ written notice;
(e) terminate this contract for convenience by providing the Speaker 14 days’ notice, refuse any person admission to the Show or remove from the Show any person whose presence, in the opinion of Clarion Energy, is or is likely to be undesirable, and Clarion Energy may exercise such rights notwithstanding that any person is the servant or agent of the Speaker or otherwise in any way connected or associated with Speaker; and / or change or vary these terms at any time, or permit exceptions in special circumstances.

5. FORCE MAJEURE

If the Event is delayed by circumstances or causes beyond the reasonable control of the Organiser, such as flood, epidemic, terrorist attack, fire or failure of a utility service, digital viruses or failures of the internet, Clarion Energy shall not be liable for the delay of the service. If the Event is delayed for seven (7) days after the delay, Clarion Energy may terminate this agreement without any liability to Speaker.

6. ASSIGNMENT AND SUB-CONTRACTING

Speaker shall not assign, sub-let, transfer or charge or purport to assign, sub-let, transfer or charge in whole or in part this Agreement or any of his/her rights, liabilities or obligations under this Agreement without the prior written consent of Clarion.

7. WHOLE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, policies, assurances, warranties, representation and understandings between them, whether written or oral, relating to its subject matter.

8. RIGHTS OF THIRD PARTIES

A person who is not a party to the Agreement shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any terms of the Agreement.

9. SEVERANCE

If at any time one or more provisions contained in the agreement is or becomes invalid, illegal or unenforceable in any respect, this shall not affect the validity, legality or enforceability of the remaining provisions which shall remain in full force and effect.

10. APPLICABLE LAW

The validity construction and performance of the agreement shall be governed by English Law and shall be subject to the exclusive jurisdiction of the English Courts.

SCHEDULE A – SPEAKER RELEASE

This Speaker Release (this “Agreement”) is a legal agreement between you or the legal entity you represent (“you”) and Clarion Energy incorporated and registered in the Netherlands with Chamber of Commerce number 30198411 whose registered office is at Bisonspoor 6000 in NL-3605 LT, Maarssen, Netherlands (“Clarion”). In connection with your attendance at or participation in the Event to be held on 18-20 November 2025 (the “Event”). If you are entering into this Agreement on behalf of a company or other legal entity you represent and warrant that you have the authority to bind such entity to this Agreement, in which case “you” shall refer to such entity.

You hereby grant Clarion Energy a worldwide, royalty-free right and license to use, reproduce, modify, distribute, display, publish and create derivative works of any presentation materials you use at the Event (“Presentation”), the recordings of your presentation at the Event (“Recordings”), and your name, likeness, image, voice, video images, biographical information and other likenesses or publicity rights (“Likeness”) (collectively, the Presentation, Recordings and Likeness, the “Materials”) in any manner, in whole or in part, directly and through sub-licensees, individually or in conjunction with other materials, in any medium, now known or hereafter developed (including, without limitation, Internet streaming and downloads), for any purpose whatsoever.

You hereby agree that the intellectual property rights for any pre-recorded Presentation, Likeness, Materials produced by Clarion Energy for the Event vest solely in the ownership of Synergy Clarion Energy.

You represent and warrant that: (a) you have all necessary rights to grant the rights to Clarion Energy Clarion granted herein, and (b) the Presentation does not infringe or violate any third party’s rights, including any intellectual property rights or right of publicity or privacy.

You hereby release Clarion Energy, its sub-licensees and any persons or entities with whom Clarion Energy may be acting, including, without limitation, any entity publishing or distributing the Materials, in whole or in part, from and against any and all claims arising out of the permitted uses of the Materials, including without limitation all claims based on your rights of privacy and/or publicity, infringement of any other personal or property right (including intellectual property rights or any moral or equivalent rights).

You agree that you shall receive no compensation from Clarion Energy and that you will have no approval rights regarding any use of the Materials by Clarion Energy, except as set forth above. You expressly waive all claims that you might have against Clarion Energy and its respective officers, directors, agents, and employees, arising out of the Presentation, Recordings, Likeness and/or this release. This Agreement shall be binding on you, your heirs, representatives, successors and assigns
